Terms of Service
These Terms of Service ("Terms") govern access to and use of the Speekr web application and related services (collectively, the "Service") provided by Speekr, Inc., a Delaware corporation ("Speekr", "we", "us"). The customer under these Terms is the organization, or "practice", that creates a Speekr account ("Customer", "you"). A solo clinician is a practice of one.
1Acceptance of these Terms
By creating an account, joining a practice, or otherwise using the Service, you agree to these Terms, the Privacy Policy, and, for the practice, the Business Associate Agreement ("BAA"). If you accept these Terms on behalf of a practice, you represent that you have authority to bind that practice. Each individual who uses the Service under a practice's account (a "User") must also comply with these Terms.
2The Service
Speekr helps private-practice speech-language pathologists (SLPs), physical therapists (PTs), and occupational therapists (OTs) prepare recurring and one-time clinical documentation, such as progress reports, plans of care, re-evaluations, discharge summaries, initial evaluations, and custom document types.
Clinicians upload or paste records they already have, such as the latest report or evaluation, session notes exported from their existing EHR, and other supporting records (Word files, PDFs, including scanned PDFs, and pasted text). Speekr extracts relevant clinical information, can learn the format and voice of a reference report saved as a template, runs readiness and automated checks, and generates an AI-drafted document that the clinician reviews, edits, and approves. After approval, the clinician can set when the next document is due.
Speekr is a documentation tool. It does not provide medical advice, diagnosis, or treatment recommendations, is not a substitute for clinical judgment, does not interpret payer rules, and does not submit documents to payers or other third parties. Clinicians continue to document sessions in their own EHR.
3Practices, accounts, and seats
Seats and roles. Each clinician who uses the Service holds a seat in a practice with the role of owner, admin, or member. Only owners and admins may change practice settings, manage billing and the BAA, invite Users, change roles, or revoke access.
Shared patient access. Patients and their records belong to the practice. Every active member of a practice can view and work on every patient of that practice, including viewing and adding records, drafting, and approving documents. The practice is responsible for deciding who it invites and for managing their access.
Departing clinicians. When a User's seat is revoked, their access ends immediately, the practice's records remain with the practice, and their open tasks are unassigned.
Eligibility and security. Users must be at least 18 years old and either a licensed clinician in good standing in the jurisdiction where they practice or an authorized workforce member of the practice. Each User must keep their sign-in credentials confidential, and the practice is responsible for all activity under its account. Notify us promptly at raj@speekr.app of any suspected unauthorized access.
4Fees, free documents, and billing
The Service is priced per clinician seat: $29 per clinician per month. Each practice's first two documents drafted with the Service are free. After that, drafting further documents, and adding clinicians, requires a paid subscription for each clinician seat. Patients, records and documents already in the Service stay available without one.
Payments are processed by Stripe and are subject to Stripe's terms. Fees are exclusive of taxes, and all fees are non-refundable except as required by law or as expressly stated otherwise. We may change prices with at least thirty (30) days' prior notice.
5Customer Content, PHI, and the BAA
Ownership. As between the practice and Speekr, the practice retains all right, title, and interest in and to the patient records, uploaded files, templates, drafts, approved documents, and other content submitted to or created in the Service for the practice ("Customer Content").
License to Speekr. The practice grants Speekr a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and otherwise use Customer Content solely as necessary to provide the Service and as permitted by the BAA and Privacy Policy. We do not use Protected Health Information ("PHI") to train or improve any AI or machine-learning models.
HIPAA roles. The practice is a Covered Entity under HIPAA, and Speekr acts as its Business Associate in connection with the Service. A practice owner accepts the BAA once during onboarding, and the BAA covers every member of the practice. No patient can be added to the Service until the BAA has been accepted. In the event of a conflict between these Terms and the BAA with respect to PHI, the BAA controls.
Rights to upload records. The practice represents and warrants that it has all rights, authorizations, and legal bases required under HIPAA and other applicable law to upload, store, and have Speekr process (including through AI-assisted processing) the patient records and other Customer Content it provides, and that doing so does not violate any agreement, patient authorization, or restriction that applies to that content.
6Acceptable use
You agree not to, and not to permit any third party to:
- upload or submit records that you do not have the right or authorization to provide to the Service;
- use the Service in violation of HIPAA, state privacy laws, or any other applicable law or professional rule;
- attempt to reverse engineer, decompile, or otherwise derive the source code or underlying models of the Service, except to the extent such restriction is prohibited by law;
- use the Service to build or improve a competing product, or to scrape or extract data other than your own Customer Content;
- interfere with or disrupt the integrity or performance of the Service, attempt to gain unauthorized access to any part of the Service or to another practice's data, or circumvent any security or rate-limiting controls;
- share sign-in credentials or permit any person other than an authorized User with their own seat to access the Service.
7AI-drafted documents and clinical responsibility
Drafts require clinician review. Documents generated by the Service are drafts. Speekr is designed not to invent treatment events, measurements, scores, or payer requirements, and to surface gaps for review, but AI-generated output and automated checks can still be incomplete or wrong. The reviewing clinician must read, correct, and approve each document using their own professional judgment, and is responsible for its clinical content and accuracy.
Payer and documentation requirements. Speekr does not interpret payer rules. Clinicians and the practice remain responsible for meeting all payer, regulatory, and professional documentation requirements, including deadlines.
Scheduling and visit counts. Due dates are set by the clinician. Visit counts that Speekr infers from uploaded notes are estimates and are not confirmed until a clinician confirms them. Reminders and due dates are aids only.
Approval and export. Approved documents cannot be silently overwritten. Exporting a document from the Service does not mean it has been submitted, signed, or accepted by any payer; the practice is responsible for any signature, submission, or delivery outside the Service.
8Service availability
We will use commercially reasonable efforts to make the Service available. The Service is currently offered without a contractual uptime commitment. Scheduled maintenance, force majeure events, and issues caused by third-party services or by your equipment or network are not considered downtime.
9Third-party services
The Service relies on third-party subprocessors identified in the Privacy Policy and the BAA. Amazon Web Services provides hosting, database and file storage, background processing, sign-in, text extraction, and AI model inference (Amazon Bedrock and Amazon Textract), and is the only subprocessor that receives PHI. Stripe provides subscription billing and receives account and billing information only, never PHI. If you choose "Continue with Google" to sign in, Google receives sign-in information only, never PHI. Your use of the Service is also subject to those providers' terms to the extent they apply to you.
10Intellectual property
Speekr and its licensors retain all right, title, and interest in and to the Service, including its software, models, design, and documentation, other than Customer Content. Subject to these Terms and payment of applicable fees, we grant the practice a limited, non-exclusive, non-transferable right for its Users to access and use the Service for the practice's internal clinical documentation purposes. If you send us feedback or suggestions, we may use them without obligation to you.
11Confidentiality
Each party will protect the other's Confidential Information with the same degree of care it uses to protect its own, and not less than a reasonable degree of care. Customer Content is Customer's Confidential Information; pricing not publicly posted, product roadmap, and non-public technical information are Speekr's Confidential Information. PHI is also governed by the BAA.
12Warranty disclaimer
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Speekr disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Speekr does not warrant that the Service will be uninterrupted or error-free, that AI-generated drafts or automated checks will be accurate or complete, or that documents prepared with the Service will meet any payer or regulatory requirement. You are responsible for reviewing and verifying all AI-generated content before approving or using it.
13Limitation of liability
To the maximum extent permitted by law, Speekr's total aggregate liability under or in connection with these Terms, the BAA, or the Service will not exceed the greater of (a) the amounts paid by Customer to Speekr for the Service in the twelve (12) months immediately preceding the event giving rise to liability, or (b) one hundred US dollars ($100). In no event will Speekr be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, denied or delayed payer reimbursement, or lost data, even if advised of the possibility of such damages. Nothing in this Section limits liability that cannot be limited under applicable law, including liability for a party's indemnification obligations or a party's breach of the BAA.
14Indemnification
Customer agrees to defend, indemnify, and hold harmless Speekr and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Customer Content, including the practice's lack of rights or authorizations to upload or process any patient records; (b) clinical documentation approved, exported, signed, or submitted by the practice or its Users; (c) use of the Service in violation of these Terms or applicable law; or (d) breach of any representation or warranty in these Terms.
15Term, termination, and data export
These Terms apply while the practice has an account or otherwise uses the Service. An owner or admin may cancel at any time through the Service or by contacting us at raj@speekr.app. We may suspend or terminate access immediately if we reasonably believe there has been a material breach of these Terms, the BAA, or applicable law, or if required to do so for security or legal reasons.
A canceling practice may export its records, subject to applicable retention and deletion requirements. After that, Customer Content that includes PHI is returned or destroyed as provided in the BAA.
16Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or related to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
17Changes to these Terms
We may update these Terms from time to time. For material changes, we will update the version number and effective date above and notify practice owners by email or in-product notice at least thirty (30) days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
18Miscellaneous and contact
Entire agreement. These Terms, together with the Privacy Policy and the BAA, constitute the entire agreement between the parties regarding the Service and supersede any prior agreements.
No waiver. A failure to enforce any provision is not a waiver.
Severability. If any provision is held unenforceable, the rest will remain in effect.
Assignment. Customer may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
